No. 1 Beauty & Cosmetic, Inc. Wholesale Policy

REQUIREMENTS

No.1 Beauty & Cosmetics, Inc., owner of the brand Celavi Beauty & Cosmetics (hereafter referred to as “Celavi”, “we”, “us”), holds our wholesale purchasers (“Reseller”) in high regard. We believe that wholesale allows both our brand and our Resellers to expand, develop, and grow as prosperous enterprises. As such, we created this Wholesale Policy to maintain brand quality, outline our wholesale purchase requirements, and guide Resellers through our wholesale process.

To ensure quality and beauty standards in our products, all Resellers must meet the following requirements before any wholesale item(s) may be purchased.

Account Application / Wholesale Account Registration

A prospective Reseller must have or open an approved wholesale account with us. To open a new wholesale account the following information must be provided:

  1. Company Name
  2. Company Address
  3. Copy of Original Company’s Sales Permit (or RFC if located in Mexico)
  4. Company EIN or Resale ID
  5. Company Contact Information:
    1. Company Phone Number & Phone Number of Contact
    2. Name & Title of Company Contact
    3. Email of Buyer

To send the required wholesale account information please contact info@mycelavi.com, call us at 323-780-5710, or come directly to our facilities located at: 1585 Rio Vista Ave. Los Angeles, CA 90023. Once received, we reserve the right to approve or reject any potential wholesale account at our sole discretion. Only approved wholesale accounts will be able to purchase wholesale items.

Valid Sales Permit

All Resellers must have a valid sales permit (Sales Permit). Generally, in the United States, you must have a Sales Permit and be registered with the State Board of Equalization (“BOE”) for any state you wish to sell or lease merchandise. A Sales Permit is issued by the BOE and can be acquired online. Without a Valid Sales Permit or RFC, we will deny any wholesale purchase inquiries to protect our brand, our brands image, and to prevent any brand dilution. Celavi Brand Standards

Resellers must meet Celavi brand standards and not dilute the image we promise to uphold for our wholesale family. We reserve the right to discontinue or cancel any wholesale account with Celavi if our products are mistreated, poorly displayed, adulterated, copied/infringed, falsely represented as your own or another’s, not well maintained, which includes any other conduct we deem inappropriate for our brand, or if the account changes ownership or control. Companies with distribution strategies not compatible with Celavi will also be limited or discontinued at our sole discretion.

Keep in mind, as with many wholesale arrangements, not all Celavi products are available for purchase through wholesale. We reserve the right to hold some items exclusively on our online website www.mycelavi.com (Consumer Site) and other Celavi platforms. Inquiries regarding specific exclusive items may be reserved by Resellers as an option to buy. Please direct all inquiries regarding reserved items to info@mycelavi.com.

            Online (E-Retailer) Requirements

We strive to keep our reputation as a reputable and trusted brand over the internet intact. Resellers who sell online must have a privacy policy, customer service policy, and an overall business ethic that is compatible with No.1 Beauty & Cosmetic, Inc. To prevent brand dilution, we require our prior consent for any wholesale product sold through any online platform, including any online auction site(s) such as eBay or Amazon, and take our intellectual property rights very seriously.

All material, including text from www.mycelavi.com or www.celaviproducts.com (“our websites”), ads, catalog, and other written documentation, may be used only with the express written consent of No.1 Beauty & Cosmetic, Inc. The presentation of the Celavi products on your site must clearly differentiate from our websites and must not confuse a “reasonable consumer” as a website hosted by us. To protect our intellectual property rights, prior to your initial online set up for our goods, we may review your website and reserve the right to refuse sale at our discretion. We may also review your site periodically to ensure ongoing compliance with our Wholesale Policy.

PRICING STRUCTURE – Opening Order Minimum / Maximum

For all wholesale purchases, we currently require a minimum order of one (1) case per SKU or product. Each product has a designated case that contains sets, by dozen, by boxes and any other specified depending on each product. We do not limit our maximum order cap, but larger orders may have increased lead time. To stay current with our latest products and easily identify our SKU numbers, we have constructed https://celaviproduts.com (“Wholesale Website”) for our Resellers’ convenience. Please keep in mind that our Wholesale Website is designed as a catalogue for Resellers only. We do not sell any products directly from the Wholesale Website, nor do we allow users to register on this website.

MINIMUM ADVERTISED PRICE POLICY (MAP)

For all sales in the United States, any failure to comply with MAP, intentional and/or repeated failure to abide, may result in the immediate loss of Authorized Reseller status and your ability to purchase any and all Celavi products both direct as well as through distribution, at our sole discretion. Our MAP policy governs all Celavi products, and is incorporated in this agreement by this reference.

Our Suggested Retail Price (SRP) determines and defines our minimum advertised price for our products. Our MAP policy shall be unilaterally determined by us and may be changed at any time under our sole discretion. All changes to our MAP Policy will be posted, in writing, on our MAP Policy and may be communicated to our Reseller’s through email, phone, or other communications within thirty (30) days.

Our MAP policy applies to advertised prices only, and in no way limits a retailer’s right to set its own prices. For purposes of this policy, all retail media including, but not limited to: social media advertising, print advertising, facsimile, radio, mailing, television, internet, and e-mail, are considered advertising. So long as the price advertised or listed is not below the MAP, this MAP policy does not in any way limit the ability of any dealer to advertise generic phrases such as “will meet or beat competitor’s prices,” or other similar phrases.

Celavi’s MAP Prices are not intended to be, nor shall they be construed to be, an agreement to fix the minimum prices at which Celavi, Resellers’, or other distributors sell our products.  Each Reseller of Celavi’s products must determine at their sole discretion the price at which they sell Celavi’s products.  For the purpose of this Policy, promotions, exchanges, coupons, discounts, product combination specials, internet specials or deals, and package deals shall be considered advertisement, and if such prices cause Reseller’s prices to fall below the MAP prices and are published without our approval, we may take disciplinary action against Reseller.

For all sales in the United States, at the sole discretion of No.1 Beauty & Cosmetic, Inc. failure to comply with our MAP, intentional and/or repeated failure to abide, may result in the immediate loss of Authorized Reseller status and your ability to purchase all Celavi products both direct as well as through distribution.

In cases of violation of this MAP policy, resellers will be allowed 48 hours, two (2) days, to bring all advertising into compliance. Intentional or repeated failures to comply with this MAP policy for Celavi products by any Reseller will result in a revocation of any authorization to purchase our products. We will take whatever action deemed appropriate, unilaterally imposed by No.1 Beauty & Cosmetic, Inc., to protect our MAP and may include:  Cancellation or suspension of shipments of products to Resellers without prior notice, and suspension or termination of Reseller’s wholesale agreements with us.

We also reserve the right to cancel or limit the sale of any product to parties whose sales and distribution strategies are incompatible with those of No. 1Beauty & Cosmetic, Inc. Any wholesale transaction to Reseller by us, at a discount in wholesale or for less than our manufacturer’s suggested retail price (MSRP), shall occur at our sole discretion. No such arrangement shall be considered consent by Celavi for Reseller to advertise or sell our products at prices below our SRP. Effective 1/30/2018.

PAYMENT METHODS / TERMS

For all orders in the U.S., any wholesale purchase must be paid in full on delivery, (herein referred to as collect on delivery (COD)). We accept Debit, Credit (All Major Credit Cards, AMEX has an additional 3% charge), cashier check, money order, or Direct Wire Transfer. Please make all checks payable to No. 1 Beauty & Cosmetic, Inc., and any Credit Card charges from us will appear on your statement as No.1 Beauty & Cosmetic, Inc. Any returned payments due to insufficient funds will be charged an additional $50 processing fee and may result in termination with your wholesale account with us.

For International orders, payment is required before shipment. Any International order(s) must be paid in US currency by direct wire transfer to our company bank account, cashier’s check, or money order. To prevent delay, any additional fees associated with the money transfer must be covered in the initial amount sent. Our international shipping prices reflect the base shipping charge only, and does not include customs duties, taxes and country specific fees. Our fees ONLY reflect the cost for us to ship your order to your country.

No. 1 Beauty & Cosmetic, Inc. will not be held responsible or liable for any problems that may result at your local customs office or if package is delayed. Any estimated delivery time for item(s) we have in stock begins from date of shipment, contingent that no problems occur with your local customs office. We are not responsible for any additional custom duties or charges and any such charges must be paid directly by you.

No refunds will be given for items that are seized at your local customs office. We will not be held liable for any customs duties or taxes that arise from your local customs office, and includes any additional fees the local carrier in your country may charge.  If you are unsure of your country’s import policies, please check with them before ordering.

ESTIMATED PRODUCTION LEAD TIME

All wholesale purchases ordered through No.1 Beauty & Cosmetics will have a production lead time of 15-60 days. Production lead time is the period between order placement and order shipment. Factors that may affect lead time include, order frequency, shipment method, and inventory stock. If you have not received a confirmation within three (3) months, please contact us at info@mycelavi.com.

SHIPPING INFORMATION

To protect our brand, we reserve the right to refuse any order felt to be fraudulent or in connection with any fraud or illegal conduct.

Free shipping is only available for local customers whose wholesale shipments reside in a 7 mile radius from our location, 1585 Rio Vista Ave. Los Angeles, CA 90023.

All other shipping is processed through Freight Collect. “Freight Collect” means that the buyer assumes all risks of transportation, is responsible for filing all claims in the case of loss or damage, and is responsible for all freight charges. As such, the cost of shipping depends on the freight shipping/transportation policies of the company used. Please be advised that once the merchandise leaves the warehouse, the customer has sole responsibility for the merchandise.

For international shipping, we are not responsible or liable for any problems that may occur through customs, and we shall under no circumstances be liable for any loss, damage, expense or delay to the goods for any reason whatsoever when any product leaves our warehouse.

SAMPLES / CUSTOMIZATION / OEM

Resellers may provide testers at their own discretion. It is your responsibility to maintain a clean environment and replace tester products as needed. Failure to maintain a clean display and products can result in termination of your wholesale account.

We offer Original Equipment Manufacturer (OEM) and Samples, at our sole discretion, on a case by case basis. RETURNS / CANCELATIONS / DISCOUNTS

Unless otherwise provided for in this Wholesale Policy, we do not allow any returns, cancellations, or discounts. Returns are available only for defective products, items damaged in our warehouse, or incorrect goods. Resellers have seven (7) days upon arrival to place a return, and all returns must include the original packaging.

Shipments that arrived in damaged condition due to our warehouse will be replaced only after proof and inspection that the damage was caused at our facilities. All Shipping & handling charges are also not refundable, and a 15% re-stocking fee will be deducted from any refund. Keep in mind that we do not refund any lost or canceled orders.

For international orders, we are not responsible for any problems due to customs and do not refund any orders that fail to pass customs, so be sure to follow the proper protocol of your country. For any additional inquiries, you may contact us at info@mycelavi.com.

CONSENT

You hereby agree and acknowledge that this Wholesale Policy is part of the terms of service for any and all wholesale purchases from us. You also agree that any wholesale order(s) made by you after the effective date of any modification to this policy signifies your assent to Celavi’s updated Wholesale Policy. The sole remedy elected to you against Celavi for any dissatisfaction with our Wholesale Policy is to stop purchasing wholesale item(s) from us. Celavi reserves the right to change this Wholesale Policy at any time, without advance notice. Any changes to this policy will be posted on this page so that you are always up to date. We suggest that you periodically consult this Wholesale Policy to be fully informed.
